1. Parties and Definitions
These Terms and Conditions ("Terms") constitute a legally binding agreement between:
Provider: BuildPilot Labs, operated by Ranjeet Singh, Munich, Germany ("we", "us", "our", "BuildPilot Labs").
Customer / User: The natural person or legal entity registering for or using our services ("you", "your").
The following definitions apply throughout these Terms:
- "Service" — the buildpilotlabs.com website, the CodeSage Pro subscription, the associated API, and any related software or support.
- "Software" — the CodeSage Pro macOS application.
- "Subscription" — a paid plan (Pro Monthly or Pro Annual) that grants access to unlimited AI calls.
- "License Key" — the unique alphanumeric key issued upon account creation or upgrade, used to activate the Software.
- "Consumer" — a natural person acting outside their trade, business, craft or profession (as defined in Art. 2(1) EU Consumer Rights Directive 2011/83/EU and § 13 BGB).
2. Scope and Acceptance
These Terms govern all use of the Service. By creating an account, downloading the Software, or completing a purchase, you confirm that you have read, understood, and agree to these Terms, together with our Privacy Policy.
If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have such authority, you may not use the Service on behalf of that entity.
We do not accept orders from individuals under 16 years of age. By using the Service, you confirm you are at least 16 years old.
3. Account Registration
To access paid features you must register an account with a valid email address and a password of at least 8 characters. You are responsible for:
- Keeping your login credentials confidential.
- All activity that occurs under your account.
- Notifying us immediately at contact@buildpilotlabs.com of any unauthorised use.
You may hold only one account. Creating duplicate accounts to circumvent plan limits is a breach of these Terms and may result in termination of all associated accounts.
4. Subscription Plans and Pricing
We offer the following plans:

All prices are stated in euros and include any applicable Value Added Tax (VAT). For B2B customers providing a valid EU VAT number at checkout, the reverse-charge mechanism may apply and prices may be shown exclusive of VAT.
We reserve the right to change prices with at least 30 days' prior notice. Price changes will not affect active subscription periods; the new price will apply from the next renewal date. If you do not accept a price change, you may cancel before it takes effect.
4a. Lifetime Plan — Access Period
Important — "Lifetime" Definition: The term "Lifetime" as used in the Pro Lifetime plan refers to a period of 5 (five) years from the date of purchase — not the lifetime of the buyer or the product. This is a common industry practice for one-time software purchases.
By purchasing the Pro Lifetime plan, you receive full access to the CodeSage Pro service and all updates released during a 5-year access period beginning on your purchase date. After 5 years, access will expire. At that point you may renew at the then-current pricing, or continue using any locally installed version of the software that does not require our cloud API.
This access period is clearly stated on the Pricing page and in the product description at the time of purchase. If you have any questions about the access period before purchasing, please contact us at contact@buildpilotlabs.com.
5. Payment and Billing
All payments are processed by Stripe, Inc. ("Stripe"), a third-party payment processor. By purchasing a subscription, you also agree to Stripe's Consumer Terms of Service and Stripe Privacy Policy.
We do not store your full payment card details. Stripe stores and processes payment information on our behalf in accordance with PCI DSS standards. We store only a Stripe Customer ID and Subscription ID to manage your account.
Payment is due in advance for each billing period. If a payment fails, Stripe will retry automatically according to their retry schedule. We will notify you by email of failed payments. If the payment cannot be collected after retries, your Subscription may be suspended or downgraded to the Free plan.
For subscriptions, a binding order is placed at the point you click "Subscribe" and confirm payment. You will receive an email confirmation from Stripe. The contract between you and BuildPilot Labs is formed at that point.
6. Auto-Renewal and Cancellation
Important — Auto-Renewal: Pro Monthly and Pro Annual subscriptions renew automatically at the end of each billing period. You will be charged the applicable fee unless you cancel before the renewal date.
You may cancel your subscription at any time through your Account page → "Manage Billing". This opens the Stripe billing portal where you can cancel, change your plan, or update your payment method.
Upon cancellation, your Subscription remains active until the end of the current paid period. You will not be charged for the next billing period. No partial refunds are issued for unused time in the current period, except as required under the Right of Withdrawal (see Section 7) or applicable law.
To upgrade from Pro Monthly to Pro Annual (or vice versa), use the Stripe billing portal. Plan changes take effect immediately; any unused value from your current period is prorated and applied as a credit toward the new plan.
7. Right of Withdrawal (EU Consumers)
Right of Withdrawal — Summary for EU Consumers: If you are a Consumer located in the European Union, you generally have a 14-day right to withdraw from a distance contract without giving any reason. However, for digital services that begin immediately, this right is forfeited once the service has started with your explicit consent, as explained below.
7.1 Standard 14-Day Right
Under the EU Consumer Rights Directive (2011/83/EU), implemented in Germany via §§ 312g, 355–361 BGB, EU Consumers have the right to withdraw from a contract within 14 days of its conclusion without stating reasons.
To exercise this right, you must inform us by an unambiguous statement (e.g. a letter or email) before the 14-day period expires:

You may use the model withdrawal form provided in Annex I of the EU Consumer Rights Directive, but are not obliged to.
7.2 Waiver of the Right of Withdrawal for Digital Services
Pursuant to Art. 16(m) of the Consumer Rights Directive and § 356(5) BGB, the right of withdrawal expires before the 14-day period when:
- The performance of the digital service contract has begun, and
- You have given your prior express consent that we begin performance before the withdrawal period has expired, and
- You have acknowledged that your right of withdrawal is thereby lost.
At checkout, you are asked to expressly confirm: "I agree that delivery of the digital service starts immediately. I acknowledge that I thereby lose my right of withdrawal." Once you check this box and complete payment, the right of withdrawal is forfeited and your Subscription activates immediately.
If you do not give this consent during checkout, your Subscription will not start until after the 14-day withdrawal period has elapsed, or you explicitly request early start.

8. Refund Policy
Except as required by law or the Right of Withdrawal above, all subscription fees are non-refundable. We do not issue prorated refunds for cancellations mid-period.
We will issue a full refund if:
- You exercised your valid Right of Withdrawal before the service began (Section 7.1).
- A technical error on our part prevented you from accessing the Service for more than 72 consecutive hours during your paid period, and you notified us within that period.
- We are required to do so under applicable mandatory consumer law.
To request a refund, email contact@buildpilotlabs.com with your account email and a brief description. We will process approved refunds within 14 days to the original payment method.
9. Software License
Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the CodeSage Pro macOS application on devices owned or controlled by you.
- Use the Software for your personal or internal business purposes in accordance with your plan.
Free plan: Licensed for personal, non-commercial evaluation use, subject to the monthly AI call limit.
Pro plans: Licensed for personal or professional use without monthly AI call limits, for the duration of your active Subscription.
This license does not permit you to: sublicense, sell, resell, transfer, or assign the Software or your license key to any third party; reverse-engineer, decompile, or disassemble the Software; use the Software to build a competing product; or remove any proprietary notices.
The Software is currently designed for and tested on macOS only. We make no warranties of compatibility with other operating systems.
When your Subscription ends (by cancellation, expiry, or termination), the pro license reverts to a free license. The Software remains installed but is subject to free-tier limits.
10. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation, including export control laws.
- Attempt to gain unauthorised access to any system, network, or data.
- Interfere with or disrupt the integrity or performance of the Service or third-party services.
- Transmit malware, viruses, or other harmful code.
- Use the AI features to generate content that is illegal, defamatory, harassing, obscene, or that infringes third-party intellectual property rights.
- Automate account creation or license key generation in violation of these Terms.
- Share your license key or account credentials with other people (each user requires their own account).
- Use the Service in a manner that exceeds reasonable use or attempts to circumvent API rate limits.
Violation of this section may result in immediate suspension or termination of your account without refund.
11. AI Service Usage
CodeSage Pro's AI features are powered by third-party AI models (currently Anthropic's Claude). By using these features, you also accept that:
- AI-generated responses may contain errors, inaccuracies, or outdated information. You are solely responsible for validating any code, advice, or output before use in production systems.
- We proxy AI requests on your behalf. Your prompts and screen captures are transmitted to the AI provider to generate responses. See our Privacy Policy for details on data handling.
- We reserve the right to change the underlying AI provider or model at any time with reasonable notice where practicable.
- AI usage is subject to the usage limits of your plan. We may apply fair-use rate limits to prevent abuse.
12. Intellectual Property
All content on the Service — including but not limited to the Software, website design, text, graphics, logos, and code — is the intellectual property of BuildPilot Labs or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.
You retain all rights to any content you submit to the Service (e.g. code you analyse with CodeSage Pro). You grant us a limited licence to process such content solely for the purpose of delivering the Service to you. We do not use your code or prompts to train AI models.
Blog posts and code snippets published on this website are provided for educational purposes and may be used in your own projects with attribution to BuildPilot Labs.
13. Service Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free access. The Service is provided "as is" and "as available". We may temporarily suspend the Service for maintenance, updates, or reasons beyond our control (force majeure), including failures of third-party services (Stripe, Anthropic, hosting providers).
We will make reasonable efforts to notify you in advance of planned maintenance. Scheduled downtime of less than 4 hours per month does not constitute a service failure.
14. Limitation of Liability
Nothing in these Terms limits or excludes our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be excluded under applicable mandatory law (including consumer protection laws under German BGB and EU directives).
Subject to the above, and to the maximum extent permitted by applicable law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of or in connection with the Service.
- Our total aggregate liability for any claims relating to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim, or €50, whichever is greater.
- We are not liable for losses arising from your reliance on AI-generated outputs without independent verification.
For Consumers in the EU: mandatory statutory rights, including rights under the German Civil Code (BGB) relating to defective digital products and services, are not affected by the above limitations.
15. Changes to the Service
We may modify, update, or discontinue features of the Service at any time. For material changes that adversely affect paid subscribers, we will provide at least 14 days' notice by email. You may cancel your subscription before such changes take effect and receive a prorated refund for the unused portion of your current billing period.
16. Termination
By you: You may close your account and cancel your subscription at any time via your Account page or by emailing us.
By us: We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay fees after two failed payment retries. We will give notice where legally required.
Upon termination: your license to use the Software ends; your data may be deleted after the retention periods stated in our Privacy Policy; outstanding fees remain due.
17. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
For disputes with Consumers: if you are a Consumer habitually resident in an EU member state, you benefit from the mandatory consumer protection provisions of your country of residence. Nothing in this section deprives you of those protections.
The place of jurisdiction for all disputes arising from or in connection with these Terms, to the extent legally permissible, is Munich, Germany.
18. Consumer Dispute Resolution
The European Commission provides an online platform for out-of-court dispute resolution (ODR platform) at: https://ec.europa.eu/consumers/odr.

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to § 36 VSBG. However, we will always endeavour to resolve complaints amicably by direct contact.
19. Amendments to These Terms
We may update these Terms from time to time. For material changes, we will notify active subscribers by email at least 30 days before the changes take effect. The updated Terms will be posted on this page with a new "Last updated" date.
If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
For Consumers: we will only make changes to ongoing subscription contracts where we have an objectively justified reason (e.g. legal requirements, security updates, changes in third-party services). We will inform you of your right to cancel free of charge if such changes are not minor.
